Hotels Ethiopia Property Owner Agreement
Version 1.0 — Hotels Ethiopia Launch Phase
This Property Owner Agreement governs the participation of hotels, resorts, guest houses, furnished apartments, eco lodges, lodges, serviced apartments, and other accommodation providers on the Hotels Ethiopia platform.
By submitting property information, accepting this Agreement, or continuing to participate in Hotels Ethiopia, the Property Owner confirms that it has read, understood, and agreed to this Agreement.
1. Platform Ownership and Authorized Representation
Hotels Ethiopia is a hospitality discovery, marketing, and booking facilitation platform owned and operated by ANDEX Global LLC.
For operational efficiency, local market engagement, property onboarding, verification support, communications, promotional activities, invoicing, collections, relationship management, and related business activities within Ethiopia, ANDEX Global LLC has authorized BEHAK Multimedia PLC, a legally incorporated and VAT-registered Ethiopian company, to act as its authorized representative within Ethiopia.
Property Owners acknowledge that BEHAK Multimedia PLC may communicate with Property Owners, conduct verification activities, issue notices, coordinate onboarding, administer promotional programs, issue invoices, collect payments where applicable, manage operational support functions, and undertake other activities necessary for the operation and growth of Hotels Ethiopia within Ethiopia.
Communications, notices, invoices, and operational directives issued by BEHAK Multimedia PLC in connection with Hotels Ethiopia shall be deemed communications issued on behalf of Hotels Ethiopia and its operator.
2. Definitions
“Hotels Ethiopia” means the platform, website, brand, booking facilitation system, marketing channels, communication channels, and related services operated under the Hotels Ethiopia name.
“Platform Operator” means ANDEX Global LLC and its authorized representatives.
“Authorized Ethiopian Representative” means BEHAK Multimedia PLC.
“Property Owner” means any hotel, resort, guest house, furnished apartment, lodge, eco lodge, serviced apartment, accommodation provider, owner, manager, operator, representative, or authorized person submitting property information to Hotels Ethiopia.
“Guest” means any traveler, customer, visitor, user, or person who contacts, books, requests, reserves, stays, or attempts to stay at a property through Hotels Ethiopia or its communication channels.
“Confirmed Stay” means a booking request or reservation facilitated through Hotels Ethiopia that results in an actual guest stay at the property.
3. Eligibility and Authority
The Property Owner confirms that it is legally authorized to submit the property for listing and promotion on Hotels Ethiopia.
The Property Owner confirms that the person submitting the property information is duly authorized to represent the property.
Hotels Ethiopia may request supporting documents, including business license, tax registration, VAT registration where applicable, manager identification, authorization letter, property photos, video walkthroughs, GPS location, room information, and other verification materials.
Hotels Ethiopia may reject, suspend, or delay publication of any property that does not meet its verification, quality, legal, safety, or commercial standards.
4. Accuracy of Information
The Property Owner confirms that all information submitted to Hotels Ethiopia is true, accurate, complete, current, and not misleading.
This includes property name, location, GPS coordinates, contact details, room information, prices, amenities, photos, videos, descriptions, star rating, availability, policies, and any promotional claims.
The Property Owner must promptly inform Hotels Ethiopia of any changes in prices, availability, services, ownership, management, contact details, safety issues, renovation status, legal status, or operating status.
Hotels Ethiopia may edit, format, summarize, translate, resize, optimize, or restructure submitted information for clarity, marketing quality, search visibility, platform consistency, and guest usability.
5. Property Verification
Hotels Ethiopia may verify property information before or after publication.
Verification may include reviewing photos, video walkthroughs, location data, public information, business records, guest feedback, direct communication, phone calls, site visits, or third-party information.
Verification by Hotels Ethiopia does not mean Hotels Ethiopia guarantees the property, assumes responsibility for the property, or certifies every operational detail.
Hotels Ethiopia may mark properties as verified, pending verification, featured, discounted, suspended, delisted, or under review at its discretion.
6. Role of Hotels Ethiopia
Hotels Ethiopia acts as a hospitality discovery, marketing, communication, and booking facilitation platform.
Hotels Ethiopia is not the accommodation provider, hotel operator, travel agency operator, tour operator, landlord, property manager, employer, insurer, guarantor, or party responsible for the day-to-day operation of the property.
Hotels Ethiopia facilitates visibility, communication, booking requests, promotional campaigns, guest inquiries, and related platform services.
The Property Owner remains solely responsible for providing accommodation services to Guests.
7. Property Owner Responsibilities
The Property Owner is fully responsible for:
a. accommodation quality;
b. guest reception and treatment;
c. room availability;
d. accuracy of rates and descriptions;
e. cleanliness, hygiene, and safety;
f. staff conduct;
g. guest complaints;
h. refunds, cancellations, overbooking, and service failures;
i. permits, licenses, taxes, VAT, regulatory compliance, and applicable hospitality obligations;
j. compliance with Ethiopian laws, regulations, and local administrative requirements;
k. compliance with any applicable international guest service, consumer protection, privacy, anti-fraud, and fair-trading standards.
The Property Owner agrees not to submit false information, fake photos, misleading prices, unavailable rooms, unauthorized promotions, or inaccurate claims.
8. Guest Complaints and Disputes
Any dispute between a Guest and a Property Owner regarding accommodation quality, safety, refunds, cancellation, overbooking, guest treatment, room condition, lost property, injury, damage, discrimination, or service failure remains primarily between the Guest and the Property Owner.
Hotels Ethiopia may assist communication between the Guest and Property Owner but is not responsible for resolving or paying claims arising from the property’s conduct, service failure, negligence, breach, or legal non-compliance.
The Property Owner agrees to cooperate in good faith with Hotels Ethiopia when complaints arise.
Repeated guest complaints, poor response, misleading information, or service failures may result in suspension, demotion, removal from promotional campaigns, or delisting.
9. Property Content License
The Property Owner grants Hotels Ethiopia, ANDEX Global LLC, and BEHAK Multimedia PLC a non-exclusive, worldwide, royalty-free license to use, reproduce, display, publish, distribute, translate, modify, resize, adapt, promote, and market photographs, logos, videos, descriptions, room information, pricing information, amenities, reviews, and other content submitted by or on behalf of the Property Owner.
This license is granted for operating, promoting, marketing, improving, and administering Hotels Ethiopia and related services.
The Property Owner confirms that it owns or has the necessary rights to all submitted content and has authority to grant this license.
The Property Owner remains the owner of its content and may request removal after termination, subject to reasonable archival, legal, accounting, operational, evidentiary, and record-retention requirements.
10. Marketing Communications and Data Use
The Property Owner agrees that Hotels Ethiopia, ANDEX Global LLC, and BEHAK Multimedia PLC may contact the Property Owner by email, phone, SMS, WhatsApp, Telegram, social media, and other communication channels regarding booking requests, verification, platform updates, campaigns, service announcements, invoices, training, operational notices, and business communications.
Hotels Ethiopia may collect, process, store, analyze, verify, and retain business information, contact information, booking information, communication records, promotional participation records, invoices, payment records, verification records, dispute records, and platform activity records.
Such information may be used for platform administration, verification, marketing, analytics, fraud prevention, legal compliance, invoicing, collections, dispute resolution, customer support, and service improvement.
Hotels Ethiopia shall take reasonable administrative, technical, and organizational measures to protect such information.
11. Reviews, Ratings, and Performance Information
Hotels Ethiopia may collect, display, analyze, and use guest reviews, ratings, booking performance indicators, response times, cancellation records, complaint records, and other performance-related information.
Such information may be used in search ranking, featured listings, promotional eligibility, quality assurance, guest transparency, and platform improvement.
Hotels Ethiopia may remove fraudulent, abusive, misleading, or unverifiable reviews at its discretion.
12. Promotional Campaigns and Discount Programs
Participation in promotional campaigns, discount campaigns, voucher programs, launch offers, featured placements, homepage visibility, travel article promotions, destination campaigns, and other marketing initiatives may be optional unless otherwise agreed.
If the Property Owner opts into promotional campaigns, the Property Owner agrees to honor the agreed promotional terms communicated by Hotels Ethiopia.
Hotels Ethiopia may feature participating properties more prominently based on campaign participation, verification status, responsiveness, guest feedback, commercial agreement, and platform strategy.
13. Launch Promotion Program
Hotels Ethiopia may offer a temporary free onboarding and promotional period to selected accommodation providers.
Participation in the free onboarding program does not create any permanent right to free services.
Hotels Ethiopia reserves the right to modify, suspend, terminate, expand, or replace any promotional program at any time.
Hotels Ethiopia may introduce industry-standard commissions, service fees, featured placement fees, marketing fees, promotional campaign fees, subscription fees, or other commercial arrangements in the future upon reasonable notice.
Continued participation in Hotels Ethiopia after such notice shall constitute acceptance of the applicable fee structure unless the Property Owner chooses to terminate participation and request removal of its property listing.
14. Commissions, Fees, and Payment Terms
Hotels Ethiopia may charge commissions, service fees, marketing fees, promotional fees, featured placement fees, subscription fees, or other agreed commercial charges.
Such fees may apply to confirmed bookings, confirmed stays, promotional services, marketing services, featured placements, or other platform services.
Invoices may be issued by ANDEX Global LLC or by BEHAK Multimedia PLC as the authorized Ethiopian representative.
Unless otherwise stated on the invoice, invoices must be paid within the payment period stated in the invoice.
Failure to pay may result in reminders, suspension, removal from campaigns, demotion, delisting, and legal recovery action where appropriate.
15. Payment Reminder and Delisting Procedure
Where payment is overdue, Hotels Ethiopia may apply the following procedure:
a. invoice issued;
b. first reminder after 7 days;
c. second reminder after 14 days;
d. final notice after 21 days;
e. suspension after 30 days;
f. delisting or further legal recovery steps if non-payment continues.
Hotels Ethiopia may take faster action in cases of fraud, bad faith, repeated non-compliance, reputational harm, guest safety concerns, or legal risk.
16. Suspension and Delisting
Hotels Ethiopia may suspend, restrict, demote, or delist a property for reasons including:
a. false or misleading information;
b. fake or unauthorized photos;
c. guest complaints;
d. non-payment;
e. failure to honor confirmed bookings;
f. failure to honor promotional commitments;
g. unsafe or unhygienic conditions;
h. unlicensed or unlawful operation;
i. abusive communication;
j. reputational harm to Hotels Ethiopia;
k. breach of this Agreement;
l. failure to cooperate with verification;
m. legal, regulatory, or operational risk.
Hotels Ethiopia may give warnings where appropriate but is not required to do so in urgent or serious cases.
17. Limitation of Liability
To the maximum extent permitted by applicable law, Hotels Ethiopia, ANDEX Global LLC, and BEHAK Multimedia PLC shall not be liable for property operations, guest injury, theft, loss, service failure, cancellation, overbooking, refund disputes, tax obligations, licensing failures, staff misconduct, property negligence, false information submitted by the Property Owner, or disputes between Guests and Property Owners.
Hotels Ethiopia does not guarantee bookings, occupancy, income, ranking, visibility, guest satisfaction, or commercial results.
18. Compliance with Laws
The Property Owner agrees to comply with all applicable Ethiopian laws, regulations, licensing requirements, tax obligations, tourism and hospitality standards, consumer protection principles, privacy and data protection requirements, electronic communication rules, and commercial obligations.
Where applicable, the Property Owner also agrees to respect international standards relevant to guest safety, non-discrimination, privacy, fair marketing, and responsible hospitality.
19. Intellectual Property
The Hotels Ethiopia name, logo, website design, platform structure, content, ranking system, booking process, forms, templates, marketing materials, and related intellectual property belong to Hotels Ethiopia, ANDEX Global LLC, or their licensors.
The Property Owner may not copy, misuse, imitate, reproduce, or misrepresent Hotels Ethiopia branding without written permission.
20. Privacy and Confidentiality
Hotels Ethiopia may maintain records of submissions, acceptances, communications, invoices, verification materials, disputes, campaign participation, and related operational data.
The Property Owner agrees that such records may be retained for business, legal, accounting, audit, dispute-resolution, and compliance purposes.
Confidential business information shall not be knowingly sold to unrelated third parties without authorization or legal obligation.
21. Electronic Acceptance
The Property Owner agrees that checking the acceptance box, submitting the form, uploading property information, or continuing participation in Hotels Ethiopia constitutes electronic acceptance of this Agreement.
Hotels Ethiopia may store the acceptance date, time, IP address, property name, representative name, email, phone, agreement version, and campaign opt-in status as evidence of acceptance.
Electronic acceptance shall be treated as evidence of agreement between the parties to the extent permitted by applicable law.
22. Governing Law and Dispute Resolution
This Agreement shall be interpreted in accordance with applicable Ethiopian legal principles where operations, property onboarding, local invoicing, local representation, and local property participation occur in Ethiopia, and other applicable laws where relevant to ANDEX Global LLC as platform owner.
The parties shall first attempt to resolve disputes through good-faith communication.
If unresolved, Hotels Ethiopia may refer the matter to legal counsel, mediation, arbitration, competent courts, or other appropriate dispute resolution mechanisms depending on the nature of the dispute and applicable law.
23. Updates to Agreement
Hotels Ethiopia may update this Agreement from time to time.
Updated terms may be published on the website, sent by email, WhatsApp, Telegram, or other communication channels.
Continued use of the platform after notice of updated terms constitutes acceptance of the updated Agreement, unless the Property Owner requests removal from the platform.
24. Final Confirmation
By accepting this Agreement, the Property Owner confirms that:
a. it is authorized to submit the property;
b. all submitted information is true and accurate;
c. it understands Hotels Ethiopia’s role as a booking facilitation and promotional platform;
d. it remains responsible for guest services and legal compliance;
e. it accepts verification, privacy, marketing, future fee, payment, suspension, and delisting terms;
f. it understands BEHAK Multimedia PLC is authorized to represent Hotels Ethiopia in Ethiopia;
g. it agrees that Hotels Ethiopia may store acceptance records for future operational, legal, accounting, and dispute-resolution purposes.
